Terms of Service

These Terms of Service ("Terms") govern your access to and use of Xargo Inc.'s ("Company," "we," "us," or "our") platform, services, and related applications (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.
1. Acceptance of Terms
By using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute the entire agreement between you and Xargo Inc. regarding your use of the Services.
2. Description of Services
Xargo Inc. operates a B2B urban logistics platform that connects retailers with transporters for last-mile delivery services. The Services include access to our platform, tools for managing deliveries, tracking shipments, and related logistics functionality. We do not provide transportation services directly; we facilitate connections between retailers and independent transporters.
3. User Accounts and Registration
To use certain features of the Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that contain false or misleading information.
4. Service Usage and Restrictions
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable laws, regulations, or third-party rights
- Engage in fraudulent, deceptive, or misleading conduct
- Attempt to gain unauthorized access to the Services or related systems
- Interfere with or disrupt the integrity or performance of the Services
- Use the Services to transmit malware, viruses, or harmful code
- Reverse engineer, decompile, or attempt to derive the source code of the Services
- Engage in any form of harassment, abuse, or discrimination
5. Intellectual Property
All content, features, and functionality of the Services, including but not limited to text, graphics, logos, images, and software, are the exclusive property of Xargo Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for your personal or business purposes, subject to these Terms. You may not reproduce, distribute, or transmit any content without our prior written consent.
6. Limitation of Liability
To the fullest extent permitted by law, Xargo Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid to us in the twelve months preceding the claim.
7. Indemnification
You agree to indemnify, defend, and hold harmless Xargo Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any third-party rights.
8. Termination
We may terminate or suspend your account and access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination, including Intellectual Property, Limitation of Liability, and Indemnification, shall survive any termination of these Terms.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in California for the resolution of any disputes arising out of or related to these Terms or the Services.
10. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Services. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. We encourage you to review these Terms periodically to stay informed of any updates.
